General terms and conditions


of the business of wp hotel-agency.

DIRECT BOOKING

These are the general terms and conditions of the business of wp hotel-agency (“the intermediary”) about the use of the “online portal” of wp hotel-agency. The General Terms and Conditions cover the contractual relationship between the wp hotel-agency and the natural and legal persons who uses the services (including the partners) and are hereinafter referred to as “Client”. Hotels that make and submit specific offers on inquiries are also referred to below as “contractors”. By using the service of wp hotel-agency a contract on the use of the online portal between wp hotel-agency and the respective client will appear under the validity of these terms.
Withdrawal:

Each client may revoke his / her declaration of consent to the conclusion of the usage contract and to these terms and conditions in text form (e.g. letter, fax, e-mail) within two weeks without given reasons. The deadline begins with the contact and use of the wp hotel-agency service (including the partner). The timely sending of the revocation shall suffice to ensure the revocation period. The revocation must be sent to: wp Hotelvermittlung, Grützmacher Weg 6, 13599 Berlin, or by e-mail to info@wp-hotelvermittlung.de. This right of revocation applies exclusively to the contract of use. Wp hotel-agency points out that confidentiality is not guaranteed for data transmitted in the Internet.



§ 1 Service


Wp hotel-agency and the partners provide the clients with hotel rooms and meeting rooms for fairs, conferences and business trips. In this case, wp hotel-agency (including partner) only acts as an intermediary for a transaction between client and contractor. The reservations and accommodation contracts are concluded directly between the client (client) and the contractor (hotel).

§ 2 Fees


The use of the online portal is free of charge for the customer.

§ 3 Offers and Bookings

wp hotel-agency only appears as an intermediary. Liability for the content, expiration or payment of the event or booked hotel accommodation is excluded in any case. The client has the obligation to provide the booked hotel with all the necessary data for the booking after the fixed booking via wp hotel service. The contractor is obligated to send the customer a reservation confirmation after the group or meeting booking, stating the payment and cancellation conditions. This should be confirmed by the client in writing. wp hotel-agency has no influence on the contents of the offers submitted by the Contractor. Liability over correct information in the offers is excluded in any case. Any offer which is displayed in the online portal is not binding.



§ 4 Applicable law, written form, court of jurisdiction


The use of the online portal is based on the applicable laws of the Federal Republic of Germany and these terms and conditions. All declarations submitted within the scope of the service contract to be concluded with the WP hotel agency must be made in writing or by e-mail. wp hotel-agency reserves the right to change the before mentioned e-mail address at its own discretion. In this case, wp hotel-agency will inform the client about the change of the e-mail address. If the user is a consumer, the contract of use and the GTC are subject to the law of the Federal Republic of Germany, especially as there are no compelling legal requirements, in particular consumer protection regulations. The place of fulfillment is Berlin. For all disputes arising from the contract of use and these terms and conditions, Berlin is the exclusive court of jurisdiction, as far as the contractual parties are merchants, legal persons of public law or public special funds.

§ 5 Contract period and termination


The contract is concluded indefinitely and can be terminated at any time by both contracting parties.

§ 6 Disruption of the online portal


Contractors may not use any mechanisms, software or other scripts that may interfere with the functioning of the online portal. It is not permitted to block, overwrite or modify any content generated by wp hotel-agency or to interfere with the online portal in any other way. In addition, contractors are not entitled to take any measures which could lead to system impairments of the infrastructure of wp hotel-agency.

§ 7 Copyright


All rights to wp hotel-agency – including all conditions, descriptions, data, procedures and know-how are reserved exclusively by wp hotel-agency. The same applies to all copyrights, trademarks and all other intangible rights to and in respect of wp hotel-agency. Content placed on wp hotel-agency may not be copied or disseminated without the prior consent of the rights holders. Any form of copy, reproduction or any other form of imitation is prohibited without the express permission of the wp hotel-agency.

§ 8 Contract Acceptance by Third Parties

wp hotel-agency is entitled, with an announcement period of four weeks, to transfer its rights and obligations from the contracts concluded with the contractors in whole or in part to third parties. The right of the contractors to terminate the usage contract pursuant to § 5 shall remain unaffected in this case.

§ 9 Amendments to these terms and conditions, Severability clause


wp hotel-agency reserves the right to change these General Terms and Conditions at any time without given reasons. The amended GTC shall be considered accepted by the customer if not object to the validity of the new GTC by e-mail within two weeks after the date of entry into force. wp hotel-agency will refer to this two-week period in the e-mail to the client containing the changed conditions. If a provision of these General Terms and Conditions is invalid or unenforceable, the remaining provisions shall remain unaffected. The contracting parties undertake to replace an ineffective or impracticable provision with a provision which comes closes to the meaning and purpose of the ineffective or unenforceable provision according to the economic intentions of the parties. The same applies to possible regulation gaps.
